Offer Letter：为聘用意向书或录用通知书。
目前，多数用人单位在与劳动者正式签订劳动合同前，都会先向其发出Offer Letter，向劳动者说明单位的聘用意向以及岗位、工资、福利等情况。然而， Offer Letter是正式的合同吗?单位没有如期招用劳动者又应当承担怎样的责任?
大学毕业生王小姐在网上投了上海一家计算机公司的简历，一天后收到面试通知，王小姐两赴上海经历初试、面试后，公司于半个月后发了一封“录取通知书”，通知王小姐10天后去上班。王小姐在约定时间去公司报到，却被告知由于在此期间公司已找到更合适人选，决定不再录用王小姐。气愤的王小姐找到了律师进行咨询，看该公司是否可以赔偿损失。
Offer Letter是一种意思的表达
Offer Letter的法律性质究竟是什么呢?据律师介绍，Offer Letter只是用人单位向劳动者发出的要约，Offer Letter并不是劳动合同，仅仅是用人单位单方向劳动者发出的聘用意向，是一种意思表示。需要注意的是，尽管Offer Letter并不是正式的合同，但对用人单位而言同样具有法律约束力。
“缔约过失责任”
只要劳动者同意并符合Offer Letter中的约束条件，用人单位就应当按照Offer Letter中承诺的内容如期与劳动者订立劳动合同。如果用人单位违反Offer Letter未订立劳动合同则需要承担“缔约过失责任”。
Offer Letter发出后，用工双方仍处于劳动合同的订立过程中，此时，如果劳动者在充分信任用人单位的基础上已经为签订劳动合同做了必要的准备和投入，而最终因用人单位的过错未正式订立劳动合同，用人单位应当承担赔偿责任。
对于用人单位而言，如果对某个求职者还没有十足把握录用的时候，不要发“录用通知书”，否则，若发生上面王小姐的情况，遭到败诉是无疑的。因为录用通知书的发出，视为用人单位发出的一个要约，而求职者在规定的时间报到视为对要约的有效承诺，双方虽没有建立正式劳动关系，用人单位也会因违反缔约过失而承担赔偿责任。
