风电标书翻译案例(中英对照)
“货物”又称“合同货物”或“合同设备”指卖方根据合同应提供的设备、零部件、装置、材料、备品备件、专用工器具、图纸、资料和所有各种物品的总称。
"Goods", also called "contract Goods" or "Contract Equipment" means the equipment, parts, device, materials, spare parts, drawings, information and a variety of items.
“服务”又称“技术服务”系指根据本合同规定卖方承担与供货有关的服务，包括但不限于以下内容：设计、提供技术资料、运输及保险、组装及安装指导、调试、试运行、质保、性能测试、运行、消缺(如有)、培训、其他的伴随服务以及合同中规定卖方应承担的其他服务义务。
"Services", also called " Technical Services", means the supply-related services that the Seller undertakes pursuant to the
Contract, including but not limited to the following: design, technical information, shipping and insurance, assembly and installation instructions, commissioning, trial run, quality assurance, performance testing, operation, defects elimination (if any), training, other services that occur concurrently and other service obligations specified in the contract that the Seller shall bear.

“天”指日历天数。
"Day(s) " means the calendar day (s ).
预验收：指卖方提供的设备安装和安装过程中的全部测试完毕(不含功率曲线和可利用率)。
Pre-acceptance means the completion of the equipment installation and all tests in the process of installation provided by the Seller (excluding power curve and availability).
从第一台风机开始至最后一台风机安装测试、试运行完成为调试期，试运行应达到每台风机连续无故障、正常运行240小时，并且在此期间如出现额定风速，机组应达到额定出力。
Commissioning period shall cover all the time to be spent on the installation, testing and the completion of commissioning from the first wind turbine to the last wind turbine.
Each wind turbine shall be trouble-free after continuous operation of 240 hours, and during this period, if there is rated wind speed, the unit shall achieve the rated output.
合格后卖方提交合格的安装调试报告。
The Seller shall deliver a qualified installation and commissioning report after passing the commissioning.
调试期结束时，将签发预验收证书，证书由买方和卖方共同签字。
Upon the end of the commissioning period, a pre-acceptance certifi CAT e will be issued and signed by the Buyer and the Seller.
最终验收：指全部风机质量保证期结束时的验收，由买方向卖方签发最终验收证书。
Final acceptance refers to the acceptance at the expiration of warranty periods of all the wind turbines and shall be confirmed by a final acceptance certificate issued by the Buyer to the Seller.
质量保证期：指机组预验收证书签署后次日，至买卖双方最终验收书签发生效日，时间为2年。
Warranty period shall last for two years, starting from the day following the signature of pre-acceptance certificate of the unit to the effective date of final acceptance certificate signed by the Seller and the Buyer.
在此期间，卖方保证货物的正常、稳定运行，并对出现的合同货物缺陷予以
排除。
During this period , the Seller shall ensure the normal , stable operation of the Goods , and eliminate any defects found in the Contract Goods.
试运行：是指合同货物调试结束后，预验收证书签署前机组的运行。
Commissioning means the operation of the Contract Goods between the end of commissioning and the issuance of a pre- acceptance certificate.
设备交付：指合同货物运至项目现场(卖方车板交货)后，卖方指导下的买方卸货、双方共同的开箱、检查、清点、验收、买方签署设备交付清单等相关工作。
Delivery of equipment means the unloading by the Buyer under the guidance of the Seller and other related work performed by the Seller and the Buyer, such as unpacking, inspection, stocktaking, acceptance and signing on the delivery list of equipment by the Buyer after the Contract Goods has been carried to the project site.
买方向卖方签署设备交付清单后，该批货物的产权归属买方，但不得减少或免除合同规定的卖方的其他义务和责任。
Upon signing on the delivery list of equipment by the Buyer, the property rights of the goods shall be proprietary to the Buyer, but shall
not reduce or relieve the Seller 's other obligations and responsibilities under the Contract.
买方监造：指买方有权自付费用派代表到买方工厂进行监造[微软用户1] ，卖方提供相应的食宿等方便。
Supervision of the Buyer means that the Buyer has the right to send representatives to the Buyer's factory at its own expense to supervise manufacture while the Seller provides appropriate accommodation and other conveniences.
本合同下交付的货物应符合技术规格所述的标准。
The Goods to be delivered under the Contract shall be in conformity with the standards prescribed by the technical specifications.
如果没有提及适用标准，则应符合中华人民共和国官方标准，这些标准必须是有关机构发布的最新版本的标准。
If the appropriate standards are not applicable, the goods shall comply with the official standards specified by the People's Republic of China and the said standards shall be the latest ones released by relevant authorities.
预付款保证金
Advance Payment Bond
预付款保证金金额：合同总价的百分之五(5%)。
Advance payment bond shall be equal to 5% of the total contract price.
卖方应在合同签署后七天内，向买方提交合同条款中所规定金额的预付款保证金。
The advance payment bond stipulated by the Contract shall be delivered by the Seller to the Buyer within seven (7) days after the signature of the Contract.
预付款保证金应采用人民币，并采用下述方式提交：
Performance bond shall be denominated in Renminbi ("RMB") and delivered in the following manner:
银行保函，由买方可接受的在中华人民共和国注册和营业的银行，或外国银行通过在中华人民共和国注册和营业的银行提交。
Bank guarantee shall be submitted by the banks acceptable by the Buyer and registered and operated in the People's Republic of China or via the banks registered and operated in the People's Republic of China at the request of foreign banks.
其格式采用招标文件提供的格式或其他买方可接受的格式。
It shall be in the form prescribed in the tendering documents or other forms acceptable to the Buyer.
在卖方提供的首批设备进场移交并签署交货验收单后十五天内，买方将把预付款保证金退还卖方。
The Buyer shall return advance payment bond to the Seller within 15 days after the delivery of the first batch of equipment and the signing of the letter of acceptance.
履约保证金金额：合同总价的百分之五(5%)。
Amount of performance bond shall be equal to 5% of the total contract price
卖方应在合同签署后七天内，向买方提交合同条款中所规定金额的履约保证金。
The performance bond shall be delivered by the Seller to the Buyer in an amount as stipulated in the contract within 7 days after the signature of the Contract.

在卖方提供的全部设备预验收合格后十五天内，买方将把履约保函退还卖方。
The buyer shall return performance guarantee to the Seller within 15 days after all the equipment supplied by the Seller have been checked and accepted as qualified.
检验和测试
Inspection and T est
买方和/或其代表有权检验和/或测试货物，以确定货物是否符合合同的要求。
The Buyer and/or its representative shall be entitled to inspect and/or test the goods to ascertain whether the goods meet the requirements of the Contract.
买方和/或其代表的检验和/或测试不能减免卖方基于本合同应尽的义务和应承担的责任。
The obligations to be performed by the Seller and the liabilities to be undertaken by the Seller may not be diminished or exempted under the
Contract despite the inspection and test conducted by the Buyer and its representative.
买方和/或其代表对货物进行检验和/或测试不承担额外的费用。
Additional expenses incurred in the process of inspection and/or test on the goods are not borne by the Buyer and/or its representative.
卖方应提前三十天向买方发出货物检验和测试通知，该通知应载明(包括但不限于)检验和测试的内容、时间、地点等信息，买方应在收到该通知后十四天内确认是否参加上述检验和/或测试。
The Seller shall issue an inspection and test notice of goods to the Buyer 30 days in advance.
The notice shall set forth, including but not limited to, the contents, time and places of the inspection and test.
The Buyer shall determine whether to participate in the foregoing inspection and/or test within 14 days after receipt of the notice.
检验和/或测试可以在卖方或其分包人的驻地、交货地点和/或货物的最终目的地进行。
Inspection and/or test may be conducted at the business places of the Seller or its subcontractors, the place of delivery and/or the final destination of the goods.
如果在卖方或其分包人的驻地进行，买方和/或其代表应能得到全部合理的设施和协助，买方不应承担费用。
If the Inspection and/or test is conducted at the business places of the Seller or its subcontractor, the Buyer and/or its representatives shall have an access to all the feasible facilities and assistance, provided that the Buyer shall not bear any expenses.
如果任何被检验或测试的货物不能满足合同的要求，买方可以拒绝接受该货物。
If any inspected or tested goods do not conform with the Contract, the Buyer may refuse to accept the said goods.
卖方应免费更换被拒绝的货物，或者免费进行必要的修改以满足规格的要求。
The Seller shall replace the refused goods or make necessary modifications free of charge so that these goods meet the standards.
整个安装过程须在卖方现场技术服务人员指导下进行。
The whole procedure of installation shall be carried out in the presence of the Seller's technical service personnel and under their direction.
重要工序完成后须经卖方现场技术服务人员签字确认。
Upon completion of an important process, it must be verified by on-site technical service personnel from the Seller with signature.
重要工序清单及相关技术资料由卖方于合同货物开始组装前二十一天提供。
List of important processes and relevant technical information will be provided by the Seller within 21 days prior to the assembly of the Contract Goods.
卖方人员应负责对下述工作(包括但不限于)进行指导：安装的准备工作，机组和塔筒的现场安装和装配、接地及防雷系统的安装工作，指导买方的人员按要求的精度和质量完成安装工作。
The Seller shall be responsible to conduct the following work (including but not limited to): preparation for installation, field installation and assembly of units and towers, installation of grounding and lightning protection system and rendition of guidance when the Buyer's personnel complete the installation according to the required accuracy and quality.
安装过程中，卖方现场技术服务人员应保证在场且对重要工序及时进行确认。
During installation, the Seller’s on-site technical service personnel shall be at present and confirm the important working procedures in a timely manner.
若买方按卖方技术资料规定和现场技术服务人员的指导、卖方现场技术服务人员签字确认而出现问题，卖方承担责任；若买方未按卖方的技术资料规定和现场技术服务人员指导进行工作而出现问题，买方自行负责(设备自身问题除外)。
If any problems still arise after the Buyer has conducted its work in accordance with the stipulations of the Seller’s technical information and under the guidance of the Seller’s on-site technical service personnel and the Seller’s on-site technical service personnel have confirmed the installation by signature, the Seller shall hold the liability thereof.
If any problems arise from the Buyer’s failure to conduct its work in accordance with the stipulations of the Seller’s technical information and under the guidance of the Seller’s on-site technical service personnel, the Buyer shall hold the liability thereof at its own risk (except for the problems with equipment itself ).
货物安装和试运行期间如果卖方的技术人员指导有误或卖方提供的图纸有误和/或卖方原因造成设备缺陷和/或设备损坏等，卖方应立即予以修补和/或更换，并承担由此产生的相关费用。
During installation and commissioning of the goods, if any
equipment defects and/or damage to equipment are caused by the Seller's technical personnel’s incorrect guidance or wrong drawings provided by the Seller or the Seller itself, the Seller shall promptly repair and / or replace such equipment and be liable for all the costs that may be incurred therefor.
卖方负责对货物进行运行调试，包括但不限于单机调试、并网调试以及整场调试。
The Seller is responsible to debug the operation of the goods, including but not limited to stand-alone commissioning, synchronizing commissioning and entire field commissioning.
从第一台(套)货物开始至最后一台(套)货物安装测试、试运行完成为调试期，调试按场内集电线路组数分批进行。
The period of commissioning starts from the installation, test and trial run of the first wind turbine to those of the last wind turbine.
试运行应达到每台(套)货物连续无故障、正常运行240小时，且完成国家行业规范及制造厂规定的性能测试并合格，且卖方提交合格的安装调试报告。
During the commissioning period, each set of goods shall continuously, normally operate for 240 hours without any failures, undergo and pass equipment performance test stipulated by the
professional standards of the state and manufacturer; the Seller shall submit qualified installation and commissioning report.
在卖方完成2年质量保证期内的全部工作，合同设备质保期结束并完成支付合同规定的违约金(如有)以及索赔(如有)，双方签署最终验收证书。
Both parties will sign the final acceptance certificate on the condition that the Seller completes all the work in the 2 -year warranty period, the warranty period of the Contract Equipment expires and the Seller pays off all the penalties (if any) or claims (if any).
潜在缺陷指设备的隐患在正常情况下不能在制造和短期运行过程中被发现。
Potential defect refers to the equipment hazards which cannot be discovered in the manufacturing and short-term operation under the existing technical conditions or normal conditions.
若货物发现存在潜在缺陷，卖方应及时对全部存在潜在缺陷的货物进行消缺、修理或更换，对纠正潜在缺陷负责并承担相应费用。
If the potential defects of the goods are to be found, the Seller shall repair and replace them in a timely manner, and shall be responsible for the correction of these defects and bear the expenses inflicted by these endeavors.
买方代表如发现设备和材料存在缺陷和/或不符合本规定的标准和/或包装要求时，有权提出意见并暂不予以确认，卖方须自费采取必要措施排除缺陷或不符合本合同规定之处，当缺陷排除后，买方有权再次对货物进行检验和测试，以保证交货质量。
The Buyer's representative has the right to put forward opinions and temporarily not to make an confirmation as and when defects of equipment and materials are found and/or not in conformity with the standards and/or package requirements.
The Seller must take necessary measures at his own costs to eliminate such defects or other aspects that do not comply with the provisions of the Contract.
After the elimination of defects, the Buyer has the right to inspect and test the same goods once again to guarantee the quality of the delivery.
无论买方代表是否要求和是否知道，卖方均有义务主动及时地向买方提供合同设备制造过程中出现的质量缺陷和问题，不得隐瞒，在买方不知道的情况下卖方不得擅自处理。
The Seller has an obligation to report, without concealment, the Buyer any defects in quality and problems arising in the process of manufacture of the Contract Equipment on its own initiative in a timely
manner, whether the Buyer's representatives require or know these or not and the Seller may not arbitrarily solve these problems before the Buyer knows them.
在交货前，卖方应对每台(套)货物的质量、规格、性能、数量和重量等进行详细而全面的检验，并出具一份证明货物符合合同规定的检验证书。
Prior to delivery, the Seller shall carry out detailed and comprehensive inspection on each sets of goods in quality, specifications, performance, quantity and weight and issue an inspection certificate to conform that the goods is in conformity with the Contract.
发货后两天内，通过EMS将检验证书复印件寄送给买方。
The Seller shall send a copy of inspection certificate to the Buyer by EMS 2 days after shipment.
检验证书正本随货物一并交付买方。
The original inspection certificate, together with the goods, shall be delivered to the Buyer.
卖方应提供货物运至合同规定的最终目的地所需要的包装，以防止货物在转运中损坏或变质。
The Seller shall provide package required to transport the goods to
final destination stipulated in the Contract to prevent any damage or deterioration to the goods in the course of transshipment.
这类包装应采取防潮、防晒、防锈、防腐蚀、防震动及防止其它损坏的必要保护措施，从而保护货物能够经受多次装卸、搬运及内陆的长途运输，同时卖方对货物的包装应便于装卸。
The Seller shall take necessary protective measures for this kind of packaging as damp-proof, free from sunshine, rust-proof, anti-corrosion, vibration-proof and other damages so that the protected goods can withstand repeated loading and unloading, handling and inland line-haul, and the Seller shall make packaging convenient for loading/unloading.
卖方应承担由于其包装或其防护措施不妥而引起货物锈蚀、损坏和丢失的任何损失的责任和/或费用。
The Seller shall bear any responsibility and/or cost for any rusting, damage and loss of the goods incurred by its inappropriate packaging or preventive measures.
